# Factory in a SIPCOT park? The NOC your bank needs before it can mortgage the plot

> SIPCOT plots are leasehold. After a bank sanctions a loan that needs a mortgage on the allotted plot (and often the building), SIPCOT’s No Objection Certificate is part of perfecting that security. On the official TN Single Window procedure (RL_54), you apply online, pay ₹5,000 + GST, and the Assistant Manager (Projects) scrutinises the application and supporting documents within 7 days — that is scrutiny time, not a promised NOC turnaround. The checklist includes CA/CPA-certified shareholding (at allotment and now), three years’ audited financials, the bank’s sanction letter with terms and the properties to be mortgaged, TNPCB Consent to Operate, and — if management has changed — payment of differential plot cost plus a modified lease deed. An NOC does not assure the loan.

News peg: [The Hindu, 23 Oct 2026 — industries in Chennai’s SIPCOT parks flag infrastructure gaps](https://www.thehindu.com/news/national/tamil-nadu/industries-in-chennais-sipcot-parks-flag-infrastructure-gaps/article71612678.ece) (Vallam Vadagal and Irungattukottai; infrastructure concerns only — not a change to the mortgage-NOC procedure).

## Why this comes up for a ₹5 Cr+ file

SIPCOT industrial plots are **leasehold**. When a lender wants the plot (and often the building) as security for a [loan against property](/services/loan-against-property/) or a [working-capital](/services/working-capital/) facility, perfecting that mortgage usually needs **SIPCOT’s NOC** after sanction. Units in parks such as Vallam Vadagal and Irungattukottai have been in the news over power, roads and water ([The Hindu, 23 Oct 2026](https://www.thehindu.com/news/national/tamil-nadu/industries-in-chennais-sipcot-parks-flag-infrastructure-gaps/article71612678.ece)); that infrastructure story is separate from the mortgage-NOC process, but it is a reminder that many Chennai-belt factories sit on SIPCOT leasehold land where this step applies.

An NOC **does not** assure sanction or disbursement.

## What RL_54 says (official procedure)

From the TN Single Window RL_54 PDF (procedure, checklist and fees):

### Fee
- **Application fees — INR 5,000 + GST.**

### Scrutiny window (not a full turnaround promise)
- After online filing on the Single Window Portal (SWP), upload of supporting documents, fee payment and submission, the **Assistant Manager – Projects** scrutinises the application and supporting documents.
- The flowchart marks that scrutiny step **within 7 days**, with queries raised if clarifications are required.
- Later steps (dues demand, management-change path, issue of NOC by GM Projects / Managing Director, download of the NOC) are on the same chart — **do not read the 7-day box as “NOC in 7 days.”**

### Checklist of supporting documents (RL_54 §2)
1. List of directors / shareholding pattern of the company **at the time of allotment and as on date**, duly certified by a CA/CPA
2. Audited annual reports / audited balance sheet and P&L of the **last 3 years**
3. Proof of **change of management** of the company (if any)
4. Proof of **listed NBFC** (mandatory if the NOC is required in favour of an NBFC)
5. **Bank’s sanction letter** (with terms and conditions) providing details of credit facilities sanctioned and the **properties to be mortgaged**
6. Details of **properties to be mortgaged**
7. **NOC from SIPCOT** (mandatory if an NOC was earlier issued to a bank by SIPCOT)
8. **No Due Certificate** (mandatory if an NOC was earlier issued to a bank by SIPCOT)
9. **Modified lease deed** (mandatory in case of change in management of the entity)
10. **Consent to Operate** from the Tamil Nadu Pollution Control Board

### If management has changed
- RL_54’s flowchart: after review (including audited annual report and change of management), if there **is** a change in management structure, SIPCOT raises a demand for payment of **differential plot cost** and a request for **modification of the lease deed**.
- The chart asks whether payment and execution / registration of the modified lease deed were completed **within 30 days**.
- Until that path is cleared, the NOC does not simply sail through the “no management change” branch.

### Earlier NOC already on the plot
- If SIPCOT earlier issued an NOC to a bank, the checklist requires the prior SIPCOT NOC and a **No Due Certificate**. Align filing with your lender’s takeover / enhancement instructions and with whatever SIPCOT asks for those two documents.

## What to do before you apply

1. **Confirm the product needs a plot mortgage.** Some pure unsecured or movable-security structures do not — your sanction letter decides.
2. **Get the sanction letter wording right.** RL_54 wants the bank’s sanction with T&Cs and the properties to be mortgaged named.
3. **CA check on shareholding vs allotment.** Directors/shareholding “at allotment” vs “as on date” is item 1 — a management change can trigger differential plot cost.
4. **TNPCB CTO** — keep Consent to Operate current; it is on the official checklist.
5. **If switching lenders or enhancing** where an earlier SIPCOT NOC exists — gather the earlier NOC and No Due Certificate before filing.
6. **Budget time for queries.** The 7-day box is scrutiny only. RL_54 also shows clarification and dues steps after that — allow for those before the NOC is issued.

## Frequently asked questions

### Does a SIPCOT NOC mean my bank loan is approved?

No. The NOC is SIPCOT’s clearance for the bank to take a mortgage on the allotted plot (subject to SIPCOT’s process). Sanction, disbursement and mortgage registration remain with the lender and the applicable registration steps. Treat the NOC as a security perfection step, not an approval.

### What does the official application fee cost?

RL_54 states application fees of INR 5,000 + GST. Other dues SIPCOT raises (for example unpaid dues or differential plot cost on a management change) are separate from that application fee.

### How long does SIPCOT take to issue the NOC?

RL_54’s flowchart shows the Assistant Manager (Projects) scrutinising the application and supporting documents within 7 days and raising queries if needed. That is the scrutiny window on the official chart — not a guaranteed number of days from application to downloadable NOC. Clarifications, dues, management-change steps and registration of a modified lease deed (where required) add time.

### What if the company’s management has changed since allotment?

RL_54’s procedure asks whether there is a change in management structure. If yes, SIPCOT raises a demand for payment of differential plot cost and a request for modification of the lease deed; the flowchart shows payment and execution/registration of the modified lease deed to be completed within 30 days. Proof of change of management and a modified lease deed also appear on the supporting-documents checklist.

### Can the NOC be in favour of an NBFC instead of a bank?

RL_54’s checklist requires proof that the NBFC is listed when the NOC is required in favour of an NBFC. Confirm with SIPCOT and your lender what they will accept for your file.
